Victor has practiced with Fabian & Clendenin as a shareholder since 2000 after serving seven years as a business executive, co-founder and CEO/general counsel of a technology transfer biomedical product development startup company and later as a business development executive for an Internet information security infrastructure provider. During 1976-1992, Victor practiced corporate and securities law as a partner with Altheimer & Gray in Chicago. As a corporate and securities member of Fabian & Clendenin’s Business/Tax/Transactions practice group, he focuses his practice on corporate and securities law working with technology-based and emerging companies in the biomedical, information technology and other industries in business planning, formation, mergers and acquisitions and strategic alliances involving corporations, LLCs, partnerships and joint ventures; offerings and restructurings; counseling with respect to securities, corporate, partnership, LLC and contract matters, intellectual property management and licensing; representation of public companies, directors and investors in connection with insider and beneficial ownership reporting and compliance; and executive compensation, private equity and corporate finance transactions. He is listed in the Mountain States Super Lawyers® for 2007 in the field of securities and corporate finance. He has also been named to the Utah Legal Elite™ as a corporate lawyer in the January ’07 issue of Utah Business magazine and has served as a panelist in continuing legal education seminars on corporate and e-commerce law.

Victor has been admitted to the Utah State Bar (1993), the Illinois Bar (1974) and the Missouri Bar (1975). He is a member of the American Bar Association, the Licensing Executives Society, and the Association for Corporation Growth. He was a member of the Corporation Acts Advisory Committee to Illinois Secretary of State Jim Edgar from 1986-1992. He was the Chairman of the Illinois State Bar Association’s Corporate and Securities Law Section Council from 1986-1987. He has had training in commercializing biomedical technology, information technology, accounting for lawyers and trial advocacy. He practiced with Altheimer & Gray in Chicago from 1976-92 (Partner 1981-92; Co-Chair, International Practice Group 1988-92; Asst. Chairman, Corporate Department, 1986-88), was Of Counsel with Prince Yeates & Geldzahler from 1992-1993, and was Law Clerk to Chief Judge Floyd R. Gibson, U.S. Court of Appeals from the 8th Circuit from 1974-1976.

Victor received his Juris Doctor, cum laude, from Loyola University of Chicago School of Law, where he was a member of the editorial board, lead articles editor, for the Loyola Law Journal from 1972-1974. He earned his B.A. in Philosophy and Communications at Antioch College in 1970, where he was a member of Alpha Sigma Nu.
